Terms of Service

These terms form a binding agreement between you and StockSphere Ltd for use of the StockSphere platform.
1. Definitions
"Service" means the StockSphere web application and APIs. "Customer" means the legal entity that subscribes to the Service. "User" means an individual authorised by Customer to use the Service. "Customer Data" means data Customer or its Users upload to the Service.
2. Account & access
You must be at least 18 and authorised to bind your organisation. You are responsible for keeping credentials secure and for all activity on your account. Multi-factor authentication is strongly recommended and may be required for administrator roles.
3. Subscriptions and trials
Trials are free for the period stated at sign-up. Paid subscriptions renew automatically on the term selected at purchase unless cancelled before the renewal date. Fees are exclusive of VAT or applicable sales tax.
4. Acceptable use
- No unlawful, infringing, or misleading content.
- No reverse-engineering, scraping or attempts to bypass security.
- No use of the Service to send unsolicited marketing or spam.
- No upload of malware or content that violates third-party rights.
5. Customer Data and privacy
Customer retains all rights to Customer Data. We process Customer Data only as a processor on Customer's documented instructions, as set out in our Data Processing Agreement. Our handling of personal data is described in the Privacy Policy.
6. Service levels
We aim for 99.9% monthly availability of the production Service, excluding scheduled maintenance and force-majeure events. Specific SLA credits, if any, are set out in your order form.
7. Suspension and termination
We may suspend access for unpaid invoices after notice, or immediately for activity that endangers the Service or other customers. Either party may terminate for material breach not cured within 30 days. On termination, Customer may export Customer Data for 30 days, after which we will delete it.
8. Warranties and disclaimers
The Service is provided "as is" to the maximum extent permitted by law. We disclaim all implied warranties (merchantability, fitness for purpose, non-infringement) except those that cannot be excluded under applicable consumer law.
9. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, special, incidental or consequential losses, lost profits or loss of data. Each party's total aggregate liability is capped at the fees paid by Customer in the 12 months preceding the claim. Nothing excludes liability for death, personal injury caused by negligence, fraud, or any liability that cannot be limited by law.
10. Confidentiality
Each party will protect the other's confidential information using at least the same care it uses for its own and only for the purpose of performing under these terms.
11. Governing law
These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where mandatory consumer-protection rules of your country of residence apply.
